1. Services

Coleus Labs provides web design, development, and digital strategy services ("Services"). The specific deliverables, timeline, and costs for any project will be agreed upon in a separate Proposal or Statement of Work signed by both parties.

2. Intellectual Property

Unless otherwise stated, Coleus Labs and/or its licensors own the intellectual property rights for all material on Coleus Labs. All intellectual property rights are reserved. You may access this from Coleus Labs for your own personal use subjected to restrictions set in these terms and conditions.

Upon full payment for a project, the Client will own the specific design and code created for their website, subject to Coleus Labs retaining the right to use the work for portfolio and marketing purposes, and retaining rights to any reusable code libraries or frameworks.

3. User Responsibilities

You must not:

• Republish material from Coleus Labs
• Sell, rent or sub-license material from Coleus Labs
• Reproduce, duplicate or copy material from Coleus Labs
• Redistribute content from Coleus Labs

4. Limitation of Liability

In no event shall Coleus Labs, nor any of its officers, directors and employees, be held liable for anything arising out of or in any way connected with your use of this Website whether such liability is under contract. Coleus Labs, including its officers, directors and employees shall not be held liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Website.

5. Indemnification

You hereby indemnify to the fullest extent Coleus Labs from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these Terms.

6. Payment Terms

Payment schedules for services will be defined in individual project agreements. Invoices are generally due upon receipt. Late payments may incur additional fees.

7. Governing Law

These Terms will be governed by and interpreted in accordance with the laws of the State of New York, and you submit to the non-exclusive jurisdiction of the state and federal courts located in New York for the resolution of any disputes.

8. Changes to Terms

We reserve the right to modify these terms at any time. We will do so by posting and drawing attention to the updated terms on the Site. Your decision to continue to visit and make use of the Site after such changes have been made constitutes your formal acceptance of the new Terms of Service.
